N2  - A cooperation agreement is formed to function as a tool to accommodate the
needs of the parties involved in it. It is stated in Islamic treaty law that a contract must
fulfill its elements and conditions so that it can be implemented. An agreement must
be clear what is the rights and obligations of the parties in it. Cooperation carried out
by PT. Indofood CBP Sukses Makmur and Warmindo entrepreneurs in Yogyakarta
contain ambiguities in the rights and obligations of the parties. Cooperation
agreement between PT. Indofood CBP Sukses Makmur with Warmindo entrepreneurs
in Yogyakarta is conducted orally and has no written evidence. The number of
irregularities that occur during the course of the agreement becomes the beginning of
the emergence of questions regarding how the cooperation agreement was actually
formed and what the agreement looks like. A review in terms of Islamic law and
positive law needs to be done to find out the building and the validity of the
agreement between PT. Indofood CBP Sukses Makmur with Warmindo entrepreneurs
in Yogyakarta.
This research method uses qualitative methods with the type of research in
the form of field research combined with library research as a deepening of theory
and supporting analysis. This research is descriptive-analytic by first describing the
formation and course of the agreement between the parties and then the analysis using
the theory of Islamic treaty law and positive law. The sample collection technique in
this study uses nonprobability sampling technique which is re-devoted to purposive
sampling, with primary data from interviews with the parties in the agreement. The
theory used as a tool to analyze problems consists of Islamic treaty law theory and
positive law.
Based on the results of the study it can be concluded that the process of
formation and building of the cooperation agreement between PT. Indofood CBP
Sukses Makmur with Warmindo entrepreneurs is in accordance with Islamic
agreement law and positive law. Both the pillars of contract in Islam and the
constituent elements of the agreement in positive law already exist and are fulfilled in
this cooperation agreement. This agreement is included in the unwritten and unnamed
contract. The status of this agreement based on Islamic treaty law is vanity or
illegitimate because of obscurity (gharar) in the object of the agreement. Regarding
the release of rights carried out by Warmindo, this was permitted in Islam because it
was in accordance with tanazul's actions and did not affect the status and course of
the agreement of the two parties. Based on positive law, the release of such rights is
also permissible and does not cause an end to the agreement because the aborted
rights are not an object of agreement.
